According to the results of the Vosa, the shareholders decided to early terminate the powers of the management company (JSC Corporation Togliattiazot) and members of the board of directors of the enterprise. Vosa elected a new composition of the board of directors, which included Andrei Ermizin, Sergey Momculidze, Mikhail Lopatin, Dmitry Tatyanin, Arthur Karamashev. Dimitri Tatyanin, Director for Legal Affairs of Uralhim, was elected chairman of the board of directors. Anatoly Shablinsky, who had previously headed the Uralhim branch in Kirovo-Chepetsk, was elected general director of Togliattiazot.
Vosa decisions are adopted by the absolute majority – more than 80% of the vote.
Holding Vosa, Uralhim acted strictly in accordance with the current legislation and the decision of the Arbitration Court of the Samara Region of November 22, 2021.
An extraordinary meeting of the TOAZ shareholders was convened after a court decision on the statement of the Uralhim OKK JSC and Himaktivinvest JSC. On August 18, “Uralhim” sent to TOAZ a demand for the convocation and conduct of VOS with the agenda of the day on the early termination of the powers of the TOAZ governing bodies, as well as the election of a new composition of the board of directors. According to the legislation on joint -stock companies, a meeting of shareholders dedicated to the election of the board of directors must be held no later than 75 days from the date of submission of the requirement. In this case, no later than November 3.
However, the Board of Directors of Togliattiazot refused to comply with the requirement of the legislation of the Russian Federation on the convening of VOS under the pretext of deteriorating the epidemiological situation in the Samara region and the introduction of non -working days from October 25 to November 7. Uralhim went to court. In the statement of claim, the Ministry of Education noted the need and the possibility of compliance with all requirements and anti -icing measures, since the assembly hall of the factory is designed for 180 seats, and the number of shareholders participating in the meetings does not exceed 20 people.
In addition, in accordance with the resolution of the Governor of the Samara Region, the system -forming enterprises of the region, which include Togliattiazot, despite the announced non -working week, should continue to work, observing the requirements for ensuring epidemiological security. Based on this, the actions of the board of directors of TOAZ indicate malicious evasion of their duties, the requirements of the law and the continued systematic violation of the rights of minority shareholders.
The decisions adopted by the meeting of shareholders are aimed at improving the efficiency of financial and economic activities, restoring legality and law and order in Togliattiazot.
